Corporate Governance

The Board of N Brown Group Plc (the ‘Group’) have decided to adopt the Quoted Companies Alliance Corporate Governance Code (the 'QCA Code’). FY24 was the Group’s first year of reporting under the QCA code. Previously, the Group complied with the UK Corporate Governance Code which applied during the FY23 reporting year.

The QCA Code, developed specifically for AIM listed companies, provides companies with a robust but flexible framework of management and operation grounded in the principles of transparency, accountability, and effective communication with shareholders.  The Board remains committed to delivering the highest standards of governance and feels that the flexibility of the QCA Code is more appropriate to a company of our size and its application will support our need to remain agile to help to deliver our long-term strategy to transform the business.
